Jonathan is a partner in the Corporate Department and has extensive experience advising both Irish and international clients on all aspects of corporate and commercial law including mergers and acquisitions, equity and debt fundraising, corporate restructuring, joint ventures, commercial contracts and also on general company law and corporate governance matters. Jonathan is a regular public speaker on all such matters, and has lectured for the Law Society of Ireland’s courses on Corporate Law and Governance and Company Secretarial Law and Practice.  Jonathan has also acted as legal advisor on Invent DCU’s panel of experts.

Experience

  • Advising the sellers of Marco Beverage Systems on its sale to Middleby Corporation.
  • Advising Pepper Finance Corporation (Ireland) DAC on corporate governance matters and on contractual and transactional matters related to loan portfolio sales and servicing.
  • Advising Silent-Aire on a number of acquisitions and subsequently advising the sellers of Silent-Aire in connection with its own subsequent acquisition by Johnson Controls. 
  • Advising HSS Hire Group, in relation to the sale of its plant hire business Laois Hire Services to Briggs Equipment Ireland.
  • Advising MML Growth Capital Partners Ireland in multiple investments.
  • Advising Browserstack Limited in connection with a US$50 million Series A investment by Accel and US$200 million Series B investment round led by Bond, with participation from Insight Partners and Accel.
  • Advising Mainstream Renewable Power on transactional matters and on company law matters, shareholder arrangements, contractual matters and on corporate governance.
  • Advising multiple clients on the contracts associated with receiving grant and equity support from Enterprise Ireland.
  • Advising a group of 16 credit unions on their entry into a €10million joint venture with Fexco.
  • Advising multiple charities on changes to their respective Constitutions, corporate governance matters to include board and member/shareholder resolutions, directors duties, conflicts of interests and convening and holding meetings, and providing company law advice and advice regarding the Charities Act 2009 (and related charity guidance) and the Approved Housing Bodies Act 2019.
  • Advised numerous state bodies on corporate governance issues and the Code of Practice for the Governance of State Bodies.
